Well Wisdom Affiliate Program Terms and Conditions

This agreement (the “Agreement”) describes the terms and conditions for participation in the Well Wisdom Affiliate Program. Please read the entire Agreement. In this Agreement, the term “Affiliate” refers to you and “we” or “Well Wisdom” refers to Wisdom Proteins, Inc. By signing up and/or joining the Well Wisdom Affiliate Program you are confirming that you have read, understood, and agree to the listed terms and conditions.

The Well Wisdom Affiliate Program is administered in part through a third-party affiliate management software plugin called AffiliateWP. AffiliateWP will house each individual affiliate account, their payment information, and track their referrals using their third-party auditing system. All payments will be made via PayPal through the AffiliateWP system. Affiliates are responsible for keeping all their information current and updating their account when any changes occur.

Program Eligibility

All potential Affiliates are required to apply for their own affiliate account through the portal housed on the affiliate page of the Well Wisdom website (www.wellwisdom.com). Each new application will be reviewed by Well Wisdom and approved or denied based on the information provided.

We reserve the right to reject Affiliate applications for any reason. We also reserve the right to choose whether we provide an explanation or reasoning for Affiliate application rejection. Below are just a few reasons why an application may be rejected (this is not an exhaustive list):

Affiliate applications for websites that sell, advertise or engage in pornography, phishing scams, spamming, illegal business practices, or that include any material infringing on any intellectual property will be rejected.
Affiliate applications for websites that we do not believe are aligned with our industry or business may be rejected.
Affiliate applicants with websites that re-sell any of our products will be rejected.
Websites considered inappropriate by Well Wisdom will be rejected, including but not limited to adult sites, sites that display adult material or banners, sites that promote violence, hatred or bigotry, sites that promote or engage in illegal activity, including (but not limited to), hacking, cracking, nulled, and warez sites.

In order to maintain eligibility, Affiliates are required to keep their collection of listings current. Any posting of Affiliate links at un-approved locations could result in an immediate freeze of the link(s) and all Affiliate links associated with this account. Each link must be promoted with content or images secured through AffiliateWP. A link without any context on a given page will be frozen until this is corrected.

Commissions

The Well Wisdom Affiliate Program pays commissions on qualified referrals on a tiered basis, with greater monthly sales resulting in a higher commission percentage, as follows:

8% of total sales less than $500 in a given calendar month
10% of total sales if total is between $500 and $2,499.99 in a given calendar month
12% of total sales if total is greater than $2,500 in a given calendar month

If an Affiliate achieves a higher tier of commission percentage for a given month, the entire commission will be calculated at the highest tier achieved. Referral sales balances will reset on the first day of every calendar month. Minimum Payout balance will be $25.00. Commissions can be viewed on the AffiliateWP Dashboard. Referrals older than 30 days and in good standing (i.e. the purchase has not been refunded) will be included with each commission payout (if the commission balance totals $25.00 or over). If a purchase is refunded, a commission won’t be paid out for that referral. Payouts will be made to the Affiliate’s PayPal account through the AffiliateWP portal by the 5th of the following month. At year end, Affiliates may be provided with a commission report and appropriate tax documentation.

Qualifying Referrals

For a sale to generate a commission to an Affiliate, the customer must remit full payment for the product. Commissions will only be paid on sales that are made when the customer clicks through qualified, correctly structured Affiliate links. Properly coded links are the sole responsibility of the Affiliate.
Referral commissions cannot be earned on any sales to individuals with an affiliate account (including your own).
Referral Cookie Longevity

Whenever a visitor uses an affiliate’s referral link, a cookie will be stored in the visitor’s browser for 30 days.
Any purchases the visitor makes within that 30 day window will be credited to the owner of the referral link. Any sales made after the 30-day window or using a different browser will not count toward the Affiliate’s commission sales balance.

We reserve the right to reject Affiliate commissions for any reason. For example, commission rejections may occur for the following reasons:

The sale that the referral was based on was refunded.
The method by which the referral was generated was in violation of our promotional policies (see below) or violated the spirit of this Agreement.

Allowed Promotional Methods

We encourage the use of promotional methods that add value to Well Wisdom and bring us legitimate, loyal customers. Here are examples of allowed promotional methods to earn more commission:

Tell clients, customers or friends about Well Wisdom, and give them your Affiliate referral link
Write a review or a blog post about protein supplements or Well Wisdom and link to our site with your referral link
Reach out to a broad audience with your social network accounts. Tweet about Well Wisdom on Twitter with your Affiliate referral link, post about us on Facebook with your Affiliate link, or communicate to your Linkedin followers about protein supplements with your Affiliate link.
Provide value to others by answering related questions on other sites with helpful responses, and using your referral link in your replies.

Prohibited Promotional Methods

We have a substantial interest in protecting our brand and ensuring it is promoted properly. The following are examples of promotional methods that are prohibited in the Well Wisdom Affiliate Program:

Well Wisdom and its products may not be promoted on coupon sites. Customers who are searching for a coupon are already in the market for Well Wisdom products, so this method adds no value to Well Wisdom.
Paid advertising using your Affiliate link is prohibited.
Buying ads through services like Google AdWords, social ads, or retargeting ads using our brand keywords and your Affiliate link.
Promoting incorrect or misleading information.
Any promotional activity that shares incorrect or misleading information. This includes false information intended to click-bait potential customers. If you are unsure of the correct information or details for promoting Well Wisdom, please contact us.
Any type of spam is prohibited: Links, ads, emails, comments… any type of spam as determined by Well Wisdom. Please respect the posting rules of any third-party websites you use to promote Well Wisdom.
Any illegal activity or activity deemed offensive by us is prohibited.
Any claims that you are associated with or employed by Well Wisdom.
Cloning our site, copying our site, using our copyrighted site assets, and pretending that a site created by you is an official Well Wisdom site is unethical and prohibited.
Claiming that you are endorsed or operated by Well Wisdom is prohibited.
The Affiliate does not gain any trademark, copyright or any other rights of Well Wisdom, and if these are used in any way that Well Wisdom does not approve of, they must be deleted or taken down immediately.

If you’re unsure or concerned that some activity you’re about to proceed with may be considered prohibited, please ask us.

Term and Termination

Either party has the right to terminate the Agreement immediately without prior notice. To terminate the Agreement as an Affiliate with Well Wisdom, simply contact us. If the Affiliate terminates the Agreement, no further commissions from Well Wisdom will be paid for any future customer transactions. If Well Wisdom chooses to terminate the Agreement, any balance will be paid to the Affiliate within 60 days of termination.

Relationship of Parties

Affiliates are independent contractors, and nothing in this Agreement creates any partnership, joint venture, agency, franchise, sales representative, or employment relationship between the parties. Affiliates have no authority to make or accept any offers or representations on our behalf. Affiliates will not make any statement, whether on their sites or otherwise, that reasonably would contradict this statement.

Limitation of Liability

You agree that Well Wisdom will not be liable for indirect, special, or consequential damages (or any loss of revenue, profits, expenditures or data) arising in connection with this Agreement or the Program, even if we have been advised of the possibility of such damages. Further, our aggregate liability arising with respect to this Agreement and the Program will not exceed the total commissions paid or payable to the Affiliate under this Agreement.

No Warranties

We make no express or implied warranties or representations with respect to the Affiliate Program or an Affiliate’s potential to earn income from the Affiliate Program. In addition, we make no representation that the operation of the websites or the Affiliate links will be uninterrupted or error-free, and Well Wisdom will not be liable for the consequences of any interruptions or errors.

Indemnification

You hereby agree to indemnify and hold harmless Well Wisdom, along with their officers, employees, agents, shareholders, and affiliates, against any and all claims, actions, demands, liabilities, losses, damages, judgments, settlements, costs, and expenses (including reasonable attorneys’ fees) (any or all of the foregoing hereinafter referred to as “Losses”) insofar as such Losses (or actions in respect thereof) arise out of or are based on (i) any misrepresentation of a representation or warranty or breach of a covenant made by you herein, (ii) any claim related to your site, including, without limitation, content therein not attributable to us, or (iii) the loss or shut down of any social media platform related to any action by you.

Governing Law and Arbitration

This Agreement shall be governed, construed, and enforced in accordance with the laws of the State of California, without regard to its conflict of laws rules. All claims and disputes arising under or relating to this Agreement or Program are to be settled by binding arbitration in California via ADR Services, Inc. An award of arbitration may be confirmed in a court of competent jurisdiction.

Modification

We may modify any of the terms and conditions within this Agreement at any time and at our sole discretion. These modifications may include, but not limited to changes in the scope of available commissions, commission schedules, payment procedures, and the Affiliate Program rules. If any modification is unacceptable to you, your only option is to end this Agreement. Your continued participation in the Well Wisdom Affiliate Program following the posting of the new Agreement or new Terms and Conditions on our site will indicate your agreement to the changes.

Miscellaneous

Our failure to enforce your strict performance of any provision of this Agreement will not constitute a waiver of our right to subsequently enforce such provision or any other provision of this Agreement.

If any of the provisions of this Agreement are determined by a court to be unenforceable, they shall be severed from this Agreement, and the remaining provisions shall remain in full force and effect.

By signing up with the Well Wisdom Affiliate Program, you acknowledge that you have read this Agreement and agree to all its terms and conditions. You have independently evaluated this program and are not relying on any representation, guarantee or statement other than as set forth in this Agreement.
